Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and SemPro Company Inc., operating the NorthVIN website, software platform, and related digital services ("NorthVIN", "we", "us", or "our"). By visiting NorthVIN, creating an account, using vehicle workflow tools, creating inspection documents, requesting vehicle-data access, purchasing a digital deliverable, or adding business-account funds, you agree to these Terms. If you do not agree, do not use the services.

1. Eligibility and authority

You must be legally capable of entering into a contract in your jurisdiction. If you use NorthVIN for a business or other organization, you confirm that you have authority to bind that organization. You are responsible for complying with laws that apply to your use of vehicle information.

2. The NorthVIN platform

NorthVIN is a digital SaaS platform for vehicle-related workflows. The platform may include account dashboards, business balance management, inspection report creation, estimate tools, secure document storage, customer delivery tools, and optional vehicle-data lookup features. Certain features may generate digital documents from information you enter and from third-party data sources where available. NorthVIN is not a repair shop, dealer, insurer, lender, government registry, or legal adviser.

3. Vehicle data and user-entered information

You are responsible for entering accurate vehicle, customer, inspection, and account information. Where a VIN or other vehicle identifier is submitted, we process the identifier you provide and are not responsible for output generated from an incorrect entry. Third-party vehicle databases may be incomplete, delayed, inconsistent, unavailable, or contain errors. A digital document produced through NorthVIN is not a mechanical inspection, appraisal, insurance decision, legal opinion, ownership guarantee, or substitute for independent due diligence.

4. Prices, taxes, and payment

Prices, currency, applicable taxes, and the total payable amount are displayed before you authorize payment. Payments are processed by the payment provider enabled at checkout. Payment-card details are handled by that provider under its own terms and privacy practices. We may correct obvious pricing errors before delivery and may change future prices at any time. A price change does not alter an order already accepted and paid.

5. Public orders and delivery

For a public order, creation of the selected digital deliverable normally begins after payment is confirmed. The deliverable may be made available on the confirmation page and sent to the email address supplied at checkout. You are responsible for providing a valid email address and retaining your order reference. Delivery times are estimates and may be affected by third-party systems.

6. Business accounts and balances

Business users may add prepaid funds and use the available balance for eligible NorthVIN platform services, including business workflow tools, document generation, inspection features, and vehicle-data access where available. The account balance is not a bank account, deposit, stored-value card, or investment; it does not earn interest and may be used only for NorthVIN services. You must protect your password and promptly notify us of suspected unauthorized access. Activity performed through your account is treated as authorized unless you notify us and applicable law requires otherwise.

7. Licence and permitted use

After full payment, we grant you a limited, non-exclusive, non-transferable licence to access and use the purchased digital deliverable and related platform output for lawful personal or internal business purposes. You may not resell, sublicense, scrape, systematically download, republish, remove proprietary notices from, or use NorthVIN output to build a competing database, screening product, or software service unless we expressly agree in writing.

8. Prohibited conduct

You may not misuse the service, circumvent search or account limits, probe or disrupt security, use automated access without permission, submit unlawful or fraudulent payments, impersonate another person, infringe intellectual-property or privacy rights, or use platform output for an unlawful discriminatory, eligibility, credit, employment, housing, insurance, or other regulated decision. NorthVIN is not a consumer reporting agency and its outputs must not be used where a consumer report or legally regulated screening process is required.

9. Intellectual property

NorthVIN, its design, software, branding, and original content are owned by SemPro Company Inc. or its licensors. Vehicle records and third-party materials remain subject to the rights of their respective owners. Except for the limited licence above, no rights are transferred to you.

10. Availability and changes

We work to keep the service available but do not promise uninterrupted or error-free operation. We may maintain, modify, suspend, or discontinue a feature where reasonably necessary. We may also refuse or cancel an order affected by fraud, sanctions, technical error, unavailable data, or legal requirements and will provide any refund required by our Refund Policy or applicable law.

11. Refunds

Refund eligibility is governed by our Refund Policy, which forms part of these Terms. Nothing in these Terms limits cancellation, refund, or other consumer rights that cannot lawfully be waived.

12. Disclaimers

To the fullest extent permitted by law, the platform, digital tools, third-party data access, and generated documents are provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, completeness, and accuracy. This disclaimer does not exclude any warranty or right that applicable law does not permit us to exclude.

13. Limitation of liability

To the fullest extent permitted by law, SemPro Company Inc. and its directors, employees, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, opportunity, goodwill, or data arising from the platform or a digital deliverable. Our aggregate liability for a claim will not exceed the amount you paid NorthVIN for the service giving rise to that claim during the twelve months before the event. These limits do not apply to fraud, wilful misconduct, gross negligence, personal injury caused by negligence, or any liability that cannot legally be limited.

14. Suspension and termination

We may restrict or terminate access when we reasonably believe these Terms have been breached, the service is being abused, payment is disputed or fraudulent, or action is needed to protect users, providers, or NorthVIN. Provisions that by their nature should survive termination will remain in effect.

15. Privacy and electronic communications

Our Privacy Notice explains how we handle personal information. Transactional messages about accounts, payments, security, receipts, generated documents, and platform activity are part of the service. Marketing messages will be sent only as permitted by law, and you may unsubscribe from them without affecting transactional messages.

16. Governing law and disputes

These Terms are governed by the laws of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any mandatory consumer right to bring a claim elsewhere, the courts located in Calgary, Alberta have jurisdiction. Before filing a claim, please contact us so we can try to resolve the issue. Nothing in these Terms prevents you from contacting a consumer-protection or privacy authority.

17. Changes and general terms

We may update these Terms by posting a revised version and changing the date above. Material changes apply prospectively after reasonable notice. If one provision is unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, or sale of business.
